Total Energy’s results for the three months ended September 30, 2020 reflect the Company’s continued focus on operational safety and efficiency and capital discipline in the face of extremely challenging industry conditions in North America and a moderation of industry activity levels in Australia. Included in the financial results for the three months ended September 30, 2020 was $4.2 million of incremental depreciation expense resulting from a change in depreciation estimates in the Contract Drilling Services (“CDS”) segment effective April 1, 2020. Also included in the Company’s 2020 third quarter results was $0.6 million of unrealized foreign exchange losses on the translation of intercompany working capital balances of foreign subsidiaries, a $0.3 million increase to the Company’s allowance for doubtful accounts and $7.4 million of funds received under various COVID-19 relief programs in Canada, the United States and Australia.

Total Energy’s CDS segment achieved 8% utilization during the third quarter of 2020, recording 717 operating days (spud to rig release) with a fleet of 98 drilling rigs, compared to 2,183 operating days, or 22% utilization, during the third quarter of 2019 with a fleet of 107 drilling rigs. Revenue per operating day was $22,563 in the third quarter of 2020, a 3% increase from the third quarter of 2019. This increase was due to a combination the mix of rigs operating and the depreciation of the Canadian dollar against the United States and Australian dollars over the past year.   During the third quarter of 2020, the CDS segment had 372 operating days in Canada with a fleet of 80 rigs (5% utilization), 127 days in the United States with a fleet of 13 rigs (11% utilization) and 218 days (including paid standby days) in Australia with a fleet of 5 rigs (47% utilization).   During the third quarter of 2020 two drilling rigs in Australia were removed from service in order to complete necessary recertifications and upgrades that are currently expected to be completed by the second quarter of 2021.

The Rentals and Transportation Services (“RTS”) segment achieved a utilization rate on major rental equipment of 7% during the third quarter of 2020 compared to 14% utilization during the third quarter of 2019. Segment revenue per utilized rental piece in the third quarter of 2020 was 23% lower than the third quarter of 2019 due to the mix of equipment operating and lower pricing. This segment exited the third quarter of 2020 with 10,640 pieces of major rental equipment (excluding access matting) and 87 heavy trucks as compared to 10,590 pieces of equipment and 95 heavy trucks at September 30, 2019. A substantial portion of the heavy truck fleet was taken out of service during 2020 to reduce operating costs and equipment wear and tear until such time as North American industry conditions warrant placing such units back into service.

Revenue in the Compression and Process Services (“CPS”) segment decreased 55% to $32.3 million for the three months ended September 30, 2020 compared to $72.1 million for the third quarter of 2019. This decrease was primarily due to a decrease in fabrication bookings over the past year and resultant decline in fabrication sales. This segment exited the third quarter of 2020 with a $37.0 million backlog of fabrication sales orders as compared to $39.8 million at September 30, 2019 and $43.8 million at June 30, 2020.   At September 30, 2020, there was 53,100 horsepower in the compression rental fleet, of which approximately 35,400 horsepower was on rent as compared to 34,000 horsepower on rent at September 30, 2019. The gas compression rental fleet operated at an average utilization rate of 66% during the third quarter of 2020 as compared to 70% in the third quarter of 2019.

The Company’s Well Servicing (“WS”) segment generated $22.8 million of revenue during the third quarter of 2020 on 26,069 service hours, or $876 per service hour, with a fleet of 83 service rigs that were located in Canada (57 rigs), the United States (14 rigs) and Australia (12 rigs). This compares to $35.8 million of revenue during the third quarter of 2019 on 42,210 service hours, or $848 per service hour. Service rig utilization for the three months ended September 30, 2020 was 18% in Canada, 15% in the United States and 56% in Australia.

Total Energy’s capital expenditure budget for 2020 remains at $10.0 million plus $3.7 million of carryforward from 2019. To September 30, 2020, capital expenditures totaled $12.3 million. Proceeds from the sale of capital assets for the first nine months of 2020 amounted to $5.5 million such that year to date net capital expenditures total $6.8 million. Capital equipment disposals resulted in a gain on sale of $2.9 million, representing a 113% premium to the net book value of the disposed assets.

During the first nine months of 2020, the Company has reduced bank debt by $34.2 million, or approximately 12%. Total Energy exited the third quarter of 2020 with $139.0 million of positive working capital (including $24.9 million of cash) and $115 million was available on the Company’s $295 million of revolving bank credit facilities. The weighted average interest rate on the Company’s outstanding debt at September 30, 2020 was 2.85%.

Outlook

In a challenging and uncertain business environment, Total Energy’s focus remains on the safe and efficient operation of its business and the disciplined use of capital.   For the first nine months of 2020, after changes in working capital, Total Energy generated $66.9 million of cash from operating activities. During the same period, $9.6 million of cash was used to fund capital expenditures, $8.1 million of interest expense was incurred and $2.7 million was paid in dividends. Having suspended its dividend following payment of a first quarter dividend, the Company has generated approximately $46.5 million in free cash flow from the beginning of 2020 to September 30, 2020, of which $40.5 million has been directed towards the repayment of bank debt and lease liabilities. The Company’s cash position increased by $5.0 million from December 31, 2019 to $24.9 million as at September 30, 2020.

Given its strong liquidity position, focus on debt repayment and desire to further reduce costs, on November 10, 2020, at the request of the Company, Total Energy’s primary revolving bank credit facility was reduced by $40 million to $250 million and its maturity extended to November 10, 2023. All other terms and conditions of such facility, including pricing and covenants, remain unchanged. Subsequent to September 30, 2020, a further $5.0 million of bank debt was repaid such that $175 million is currently drawn on this facility, leaving $75 million of remaining available credit. The Company also maintains a $5.0 million subsidiary revolving credit facility that remains undrawn and fully available.

On October 7, 2020, the Company renewed its normal course issuer bid pursuant to which it may purchase for cancellation up to 1.5 million shares, or approximately 3.3% of the shares currently issued and outstanding. Going forward, Total Energy expects to direct its free cash flow towards continued debt repayment and the purchase of shares under its normal course issuer bid.

Notes to the Financial Highlights

(1) EBITDA means earnings before interest, taxes, depreciation and amortization and is equal to net income before income taxes plus finance costs plus depreciation. EBITDA is not a recognized measure under IFRS. Management believes that in addition to net income, EBITDA is a useful supplemental measure as it provides an indication of the results generated by the Company’s primary business activities prior to consideration of how those activities are financed, amortized or how the results are taxed in various jurisdictions as well as the cash generated by the Company’s primary business activities without consideration of the timing of the monetization of non-cash working capital items. Readers should be cautioned, however, that EBITDA should not be construed as an alternative to net income determined in accordance with IFRS as an indicator of Total Energy’s performance. Total Energy’s method of calculating EBITDA may differ from other organizations and, accordingly, EBITDA may not be comparable to measures used by other organizations.

(2) Working capital equals current assets minus current liabilities.

(3) Net Debt equals long-term debt plus lease liabilities plus current liabilities minus current assets.

(4) Basic and diluted shares outstanding reflect the weighted average number of common shares outstanding for the periods. See note 6 to the Company’s Condensed Interim Consolidated Financial Statements for the three and nine months ended September 30, 2020.

“nm” – calculation not meaningful

Total Energy’s results for the three months ended June 30, 2020 reflect extremely challenging industry conditions in North America and relatively stable industry conditions in Australia.  Included in the financial results for the three months ended June 30, 2020 was $30.5 million of incremental depreciation expense resulting from a change in depreciation estimates in the Contract Drilling Services (“CDS”) segment effective April 1, 2020, of which $26.3 million is non-recurring as it relates to now fully depreciated assets.  Also included in the Company’s 2020 second quarter results was $0.5 million of unrealized foreign exchange losses on the translation of intercompany working capital balances of foreign subsidiaries and $4.5 million of grants received under the Canada Emergency Wage Subsidy program.

Total Energy’s CDS segment achieved 5% utilization during the second quarter of 2020, recording 440 operating days (spud to rig release) with a fleet of 98 drilling rigs, compared to 1,330 operating days, or 13% utilization, during the second quarter of 2019 with a fleet of 111 drilling rigs. Revenue per operating day was $32,205 in the second quarter of 2020, a 27% increase from the second quarter of 2019.  This increase was due to the significant year over year increase in the relative contribution of Australia to consolidated CDS segment revenue.  During the second quarter of 2020, the CDS segment had 72 operating days in Canada with a fleet of 80 rigs (1% utilization), 41 days in the United States with a fleet of 13 rigs (3% utilization) and 327 days (including paid standby days) in Australia with a fleet of 5 rigs (72% utilization). Nine drilling rigs were decommissioned during the second quarter of 2020, including seven mechanical double rigs located in the United States and two conventional single rigs located in Canada.

The Rentals and Transportation Services (“RTS”) segment achieved a utilization rate on major rental equipment of 5% during the second quarter of 2020 compared to 13% utilization during the second quarter of 2019.  Segment revenue per utilized rental piece in the second quarter of 2020 was 20% lower than the second quarter of 2019 due to the mix of equipment operating and lower pricing.  This segment exited the second quarter of 2020 with 10,640 pieces of major rental equipment (excluding access matting) and 87 heavy trucks as compared to 10,650 rental pieces and 86 heavy trucks at June 30, 2019.  A substantial portion of the heavy truck fleet was taken out of service during the second quarter to reduce operating costs and equipment wear and tear until such time as North American industry conditions warrant placing such units back into service.

Revenue in the Compression and Process Services (“CPS”) segment decreased 77% to $30.2 million for the three months ended June 30, 2020 compared to $132.9 million for the same period in 2019. This decrease was primarily due to lower fabrication sales activity.  This segment exited the second quarter of 2020 with a $43.8 million backlog of fabrication sales orders as compared to $77.2 million at June 30, 2019 and $44.5 million at March 31, 2020. At June 30, 2020, there was 52,500 horsepower in the compression rental fleet, of which approximately 33,200 horsepower was on rent as compared to 31,800 horsepower on rent at June 30, 2019.  The gas compression rental fleet operated at an average utilization rate of 65% during the second quarter of 2020 as compared to 68% in the second quarter of 2019.

The Company’s Well Servicing (“WS”) segment generated $21.6 million of revenue during the second quarter of 2020 on 21,497 service hours, or $1,005 per service hour, with a fleet of 83 service rigs that were located in Canada (57 rigs), the United States (14 rigs) and Australia (12 rigs).  This compares to $30.5 million of revenue during the second quarter of 2019 on 31,109 service hours, or $980 per service hour.  Service rig utilization for the three months ended June 30, 2020 was 6% in Canada, 11% in the United States and 64% in Australia.

Following the outbreak of the COVID-19 pandemic in March 2020, in order to protect its financial strength and liquidity Total Energy took immediate and decisive action.  This included significant operating and administrative cost cuts, suspension of the dividend and a 57% reduction to the 2020 capital expenditure budget from $23 million to $10 million.  Excluding $3.7 million of 2019 capital expenditures carried into 2020, for the first half of 2020 capital expenditures totaled $6.5 million.  Proceeds from the sale of capital assets to June 30, 2020 were $3.3 million and resulted in a gain on sale of $1.5 million, an approximate 46% premium to the net book value of the disposed assets.

During the second quarter of 2020, the Company reduced long term debt by $32.9 million, or approximately 12%.  $40.2 million of term debt that matured in April 2020 was refinanced with a five-year $50 million term loan bearing interest at a fixed annual rate of 3.10%.  Total Energy exited the second quarter of 2020 with $131.0 million of positive working capital (including $21.1 million of cash) and $110 million available on the Company’s $295 million of revolving bank credit facilities.  The weighted average interest rate on the Company’s outstanding debt at June 30, 2020 was 2.96%.

Outlook

Total Energy’s foremost concern remains the health and safety of its employees and other stakeholders as well as the public at large as we navigate through these uncertain and challenging times.  Protocols have been implemented throughout the Company’s global operations to mitigate the spread of the COVID-19 virus and have been effective thus far.

Despite oil prices having recovered somewhat from the lows experienced during the second quarter, North American oil and natural gas drilling and completion activity levels remain at historically low levels.  The Company currently has five drilling rigs working in Canada and three in the United States and visibility for the remainder of 2020 is limited.

While industry drilling activity levels began to moderate in Australia during the second quarter, this did not have a substantial impact on the Company’s operations.  Two of the Company’s five drilling rigs operating in Australia have recently been taken out of service to complete necessary recertifications and customer-specific upgrades that are expected to be completed by the second quarter of 2021.

The CPS segment exited the second quarter of 2020 with a flat fabrication sales backlog compared to the first quarter. While quoting activity continues to be reasonably active, customers remain hesitant to commit to new orders.  Relatively strong and stable western Canadian natural gas prices have supported demand for field compression maintenance activity.

Within the WS segment, North American production related activity has decreased significantly on a year over year basis.  While substantial government funding has been announced to accelerate well abandonment activity in Western Canada, to date no significant incremental service rig activity has resulted from such announcements although it is expected that such activity will begin in the near future.

Total Energy’s geographic and business diversification combined with an established track record of conducting its operations and spending its owners’ capital in a focused and disciplined manner has positioned the Company well during these challenging times.  Total Energy’s ability to generate free cash flow from operations even during times of severe industry stress was demonstrated during the second quarter of 2020.  While future visibility is limited, Total Energy expects that the global energy services industry will emerge from the current downturn with fewer and more disciplined participants which in turn will position the industry for a more sustainable and prosperous future.

Conference Call

At 9:00 a.m. (Mountain Time) on August 12, 2020 Total Energy will conduct a conference call and webcast to discuss its second quarter financial results.  Daniel Halyk, President & Chief Executive Officer, will host the conference call.  A live webcast of the conference call will be accessible on Total Energy’s website at www.totalenergy.ca by selecting “Webcasts”.  Persons wishing to participate in the conference call may do so by calling (800) 319-4610 or (416) 915-3239.  Those who are unable to listen to the call live may listen to a recording of it on Total Energy’s website.  A recording of the conference call will also be available until September 12, 2020 by dialing (855) 669-9658 (passcode 4849).

See note 6 to the Company’s Condensed Interim Consolidated Financial Statements for the three and six months ended June 30, 2020.

Notes 1 through 4 please refer to the Notes to the Financial Highlights set forth at the end of this release.

Total Energy’s results for the three months ended March 31, 2020 reflect continued challenging industry conditions in Canada, a deterioration of industry conditions in the United States and reduced production activity in the Compression and Process Services (“CPS”) segment. This was somewhat offset by relatively stable industry activity levels in Australia.  Included in the financial results for the three months ended March 31, 2020 was $7.9 million of income relating to unrealized foreign exchange gains from translation of working capital balances of foreign subsidiaries as compared to unrealized losses of $1.2 million in the same period in 2019.  Negatively impacting first quarter results for 2020 was a $0.4 million increase to the Company’s allowance for doubtful accounts receivable and $0.4 million of expenses to relocate rental equipment from Canada to the United States.

Total Energy’s Contract Drilling Services (“CDS”) segment achieved 22% utilization during the first quarter of 2020, recording 2,166 operating days (spud to rig release) with a fleet of 107 drilling rigs, compared to 2,021 operating days, or 20% utilization, during first quarter of 2019 with a fleet of 114 drilling rigs.  Revenue per operating day was $19,864 in the first quarter of 2020, a 12% decrease from the comparable period in 2019.  This decrease was due primarily to the mix of equipment operating in North America, notably a significant year over year decrease in the utilization of triples with the expiration of contracts and the determination not to work at depressed spot market rates.  During the first quarter of 2020, the CDS segment had 1,457 operating days in Canada with a fleet of 82 rigs (20% utilization), 327 days in the United States with a fleet of 20 rigs (18% utilization) and 382 days (including paid standby days) in Australia with a fleet of 5 rigs (84% utilization).

The Rentals and Transportation Services (“RTS”) segment achieved a utilization rate on major rental equipment of 15% during the first quarter of 2020 compared to 23% utilization during the first quarter of 2019.  Segment revenue per utilized rental piece in the first quarter of 2020 was 41% higher than revenue per utilized piece in the first quarter of 2019 due primarily to improved pricing for assets relocated to the United States and the mix of equipment operating during the quarter.  This segment exited the first quarter of 2020 with approximately 10,610 pieces of major rental equipment (excluding access matting) and 87 heavy trucks as compared to 10,660 rental pieces and 91 heavy trucks at March 31, 2019.

Revenue in the CPS segment decreased 66% to $40.7 million for the three months ended March 31, 2020 compared to $121.1 million for the same period in 2019.  This decrease was primarily due to lower fabrication sales activity.  This segment exited the first quarter of 2020 with a $44.5 million backlog of fabrication sales orders as compared to $159.8 million at March 31, 2019 and $48.6 million at December 31, 2019. At March 31, 2020, there was 50,400 horsepower in the compression rental fleet, of which approximately 33,900 horsepower was on rent as compared to 30,600 horsepower on rent at March 31, 2019.  The gas compression rental fleet operated at an average utilization rate of 68% during the first quarter of both 2020 and 2019.

Total Energy’s Well Servicing (“WS”) segment generated $33.7 million of revenue during the first quarter of 2020 on 41,530 service hours, or $811 per service hour, with a fleet of 83 service rigs that were located in Canada (57 rigs), the United States (14 rigs) and Australia (12 rigs).  This compares to $36.8 million of revenue during the first quarter of 2019 on 42,649 service hours, or $863 per service hour.  Service rig utilization for the three months ended March 31, 2020 was 32% in Canada, 44% in the United States and 74% in Australia.

During the first quarter of 2020 Total Energy repurchased 68,700 common shares at an average price (including commissions) of $6.21 per share pursuant to its normal course issuer bid.  The previously declared 2019 fourth quarter dividend of $0.06 per share was paid on January 31, 2020.  The Company previously announced its determination to suspend payment of a dividend beginning in the first quarter of 2020 until such time as industry conditions stabilize and visibility improves.

Outlook

On March 11, 2020 the World Health Organization declared the novel coronavirus (COVID-19) outbreak a global pandemic.  Around the same time, a battle for market share in global oil markets ensued.  The dual shocks of the COVID-19 pandemic and collapse in oil prices have contributed to unprecedented challenges and uncertainty for the global energy industry.  The Canadian energy industry was particularly vulnerable to these unanticipated events given the ongoing lack of oil pipeline capacity and consequential inability to access eastern Canadian and world oil markets.

Total Energy’s foremost concern is the health and safety of its employees and other stakeholders as well as the public at large.  Protocols have been implemented throughout the Company’s global operations to mitigate the spread of the COVID-19 virus and Total Energy is pleased that there have been no reported cases of infection in any of its business segments to date.

With the collapse in oil prices, North American producers have and are expected to continue to significantly reduce near term capital spending.  This has resulted in a substantial decrease in North American industry activity levels.  A notable exception is the expected increase in Canadian oil and natural gas well abandonment and reclamation activity following the recent announcement of the Canadian federal government to provide $1.7 billion to accelerate such activity.  Total Energy expects to benefit from such increased activity within its WS and RTS segments.

While the full magnitude and duration of the current downturn is uncertain, Total Energy has taken immediate and substantial steps to reduce cash outflows and protect its balance sheet and financial liquidity, including the following:

  • suspended its dividend ($10.8 million of annual cash savings);
  • reduced its 2020 capital expenditure budget by $13.0 million to $10.0 million;
  • reduced its North American employee head count to levels below those immediately prior to the Company’s acquisition of Savanna Energy Services in June 2017;
  • reduced director and officer compensation by 10% to 15%;
  • reduced North American employee compensation by a minimum of 10% through salary and wage rollbacks, reduced hours of service and job sharing;
  • reduced and eliminated discretionary North American employee benefit plans;
  • further RTS segment branch closures in Canada and temporary withdrawal from service of a substantial portion of the North American heavy truck fleet;
  • suspended all non-essential travel and discretionary spending; and
  • applied for all available government assistance programs intended to protect jobs.

Activity levels have remained relatively stable in Australia to date and therefore no significant adjustments have yet been made to Australian operations.  However, the Company is monitoring industry conditions closely and will promptly make such adjustments as conditions warrant.

Despite the current market conditions, on April 29, 2020 Total Energy completed the refinancing of $40.2 million of term debt that matured with a $50 million five-year term loan bearing interest at an annual fixed rate of 3.10%.  Such loan is amortized over 20 years with blended monthly principal and interest payments.  The additional proceeds from such loan will be used to reduce indebtedness under the Company’s revolving syndicated bank credit facility.

Total Energy has demonstrated over its 24-year history the ability to generate free cash flow during previous industry downturns.  While the current downturn is unlike any before, the measures taken by the Company to reduce cash costs are also unprecedented.  These measures, combined with Total Energy’s geographic and business diversification, position the Company not only to survive this downturn but to also increase market share and capitalize on other opportunities that will arise as the energy industry goes through a process of rationalization and consolidation.  While such process is difficult and negatively impacts many stakeholders, it is also necessary to ensure the future sustainability and economic viability of the North American energy service industry.

See note 5 to the Company’s condensed interim consolidated financial statements for the three months ended March 31, 2020.
