Total Energy Services Inc. Enters Into Strategic Alliance With Pason Systems Inc.

Posted on: May 11th, 2018 by second@dmin

CALGARY, Alberta, May 11, 2018 (GLOBE NEWSWIRE) — Total Energy Services Inc. (“Total Energy”) (TSX:TOT) is pleased to announce that it has entered into an agreement with Pason Systems Inc. (“Pason”) to collaborate in the development and deployment of drilling automation and optimization technologies.

The agreement between Total Energy and Pason contemplates that Total Energy’s contract drilling services segment (“Savanna Drilling”) will cooperate with Pason to offer Savanna Drilling’s North American customers a new automation platform on its fleet of drilling rigs through Pason’s technology platform.

Savanna Drilling will leverage Pason’s best in class process automation applications to equip its fleet of drilling rigs with real-time drilling optimization tools. These tools use machine-learning algorithms to harness the value of the data captured on the drilling rig and offer increased consistency and efficiency through real-time drilling optimization, advisory and control. Pason’s platform enables high-frequency adjustments to be made to drilling parameters in an automated fashion to increase drilling efficiency and reduce non-productive time. The data capture and computing are done through Pason’s digital network already installed on most of Savanna Drilling’s North American rigs, enabling Total Energy to take a capital efficient approach to drilling automation.

From initial trials of these technologies, Savanna Drilling’s rigs are showing consistent improvement using Pason’s evolving and expanding platform. Pason has an extensive research, development and engineering team that is devoted to assisting operators to maximize the performance of their assets through ongoing investment in technology. Savanna Drilling is excited to collaborate with Pason to develop existing and future industry-leading technologies and to make such technologies available to its customers in an efficient and cost effective manner supported by highly skilled drilling and technical support personnel.

William Kosich, Total Energy’s Vice President, Drilling Services commented, “Coupled with Pason’s leading automation and optimization solutions, Savanna Drilling is able to provide a seamless and fully integrated drilling technology platform. Our partnership with Pason allows our customers to benefit from the strengths and expertise of both companies, which we believe will provide one of the most cost-efficient solutions to enhance rates of penetration and the quality of well bore construction.”

Total Energy’s results for the three months ended March 31, 2018 improved significantly compared to the first quarter of 2017 due to the increased size and scale of operations following the acquisition of Savanna Energy Services Corp. (“Savanna”) in the second quarter of 2017, cost synergies and operating efficiencies arising from the integration of Savanna and improving international industry conditions.  The Company’s results for the first quarter of 2018 were negatively impacted by $1.8 million of non-recoverable expenses incurred with the relocation of three drilling rigs to Texas and Colorado.

Total Energy’s Contract Drilling Services segment (“CDS”) generated $61.0 million of revenue during the first quarter of 2018 on a fleet utilization of 28%, recording 2,924 operating days (spud to rig release) with a fleet of 116 drilling rigs, compared to 442 operating days, or 27% utilization, during the first quarter of 2017 with a fleet of 18 drilling rigs.  Revenue per operating day for the first three months of 2018 was $20,855, with 1,999 operating days in Canada (86 rigs at 26% utilization), 714 days in the United States (25 rigs at 32% utilization) and 211 days in Australia (5 rigs at 47% utilization). Effective January 1, 2018, the CDS segment began including in revenue subsistence payments received on behalf of its Canadian employees, which amounted to approximately $1,700 per operating day.  First quarter drilling activity in Canada was lower than the prior year due primarily to lower dry natural gas drilling and oil sands coring activity.  The Company moved a drilling rig from Canada to Texas during the quarter.  United States operating days and financial results were negatively impacted by the relocation of two drilling rigs from Pennsylvania to Texas and Colorado during the first quarter of 2018.  Additionally, three idle drilling rigs located in the United States were sold during the first quarter of 2018 as part of the fleet rationalization process.

The Rental and Transportation Services segment (“RTS”) generated $22.3 million of revenue during the first quarter of 2018, a 27% increase from the first quarter of 2017.  First quarter major rental equipment utilization for 2018 was 27% as compared to 22% in 2017.  Segment revenue per utilized rental piece decreased 6% for the first quarter of 2018 compared to the same period in 2017, due primarily to the mix of equipment utilized.  This segment exited the first quarter of 2018 with approximately 11,000 pieces of major rental equipment and 112 heavy trucks as compared to 10,000 rental pieces and 121 heavy trucks at March 31, 2017.  Approximately 100 pieces of rental equipment were moved from Canada to the United States during the first quarter of 2018.

Strong international demand, particularly in the United States, continued to drive substantial growth in the Compression and Process Services segment (“CPS”).  Revenue for the first three months of 2018 increased 42% to $85.1 million compared to $60.1 million for the same period in 2017.  This segment exited first quarter of 2018 with a $207.0 million backlog of fabrication sales orders, as compared to $75.2 million at March 31, 2017 and $167.9 million at December 31, 2017.  At March 31, 2018, there was 41,000 horsepower in the compression rental fleet, of which approximately 18,500 horsepower was on rent.  This compares to 16,500 horsepower on rent at March 31, 2017.  The compression rental fleet operated at an average utilization rate of 53% during the first quarter of 2018 as compared to 38% during the first quarter of 2017.

Total Energy’s Well Servicing segment (“WS”) generated $36.8 million of revenue during the first quarter of 2018 on 37,679 operating hours, or $923 per operating hour, with a fleet of 84 service rigs located in Canada (57 rigs), the United States (15 rigs) and Australia (12 rigs).  Service rig utilization for the three months ended March 31, 2018 was 37% in Canada, 37% in the United States and 54% in Australia.  Two idle service rigs located in the United States were sold during the first quarter of 2018.  Activity levels in Australia were negatively impacted by seasonal wet weather conditions.

During the first quarter of 2018, Total Energy declared a quarterly dividend of $0.06 per share to shareholders of record on March 30, 2018.  This dividend was paid on April 30, 2018.  For Canadian income tax purposes, all dividends paid by Total Energy on its common shares are designated as “eligible dividends” unless otherwise indicated.

Outlook

Oil and natural gas industry activity continues to recover in the markets in which Total Energy participates with the exception of Canada where activity levels remain somewhat stagnant compared to 2017.  In this environment, the Company continues to focus on achieving further operating efficiencies and pursuing international growth opportunities, including opportunities to relocate underutilized equipment.

Current indications are that Canadian drilling activity following spring break up will continue to focus on oil and liquids rich natural gas drilling programs, including an increasing focus on shallower light oil projects.  In the United States, demand for drilling rigs continues to increase and all three rigs relocated to Texas and Colorado during the first quarter have commenced operations.  In Australia, drilling and completion activity continues to steadily increase.

Total Energy’s CPS segment exited the first quarter of 2018 with a record fabrication sales backlog that was 175% higher on a year over year basis and 23% higher than the previous record backlog achieved at the end of 2017.  This backlog provides good visibility for the remainder of 2018 and the Company expects international markets to continue to drive growth for this business segment in the near to medium term.

During the first quarter of 2018 Total Energy voluntarily repaid $10 million of long-term debt.  At March 31, 2018 total debt amounted to $316.5 million and consisted of $186.0 million drawn on the Company’s revolving credit facilities (the “Credit Facility”) (3.77% interest rate), $60.6 million of mortgage debt (3.32% weighted average interest rate), $67.5 million of Savanna senior unsecured notes (7.0% interest rate) and $2.4 million of limited partnership debt (5.30% weighted average interest rate). On April 25, 2018, the Company increased the Credit Facility by $65 million to $290 million and extended the term by one year to June 2021. All other terms and conditions of the Credit Facility remain unchanged and the Company is able to fully draw on such facility.  Total Energy intends to utilize cash on hand and the Credit Facility to repay the $67.5 million of Savanna senior unsecured notes that mature on May 25, 2018.

Notes to the Financial Highlights

  1. EBITDA means earnings before interest, taxes, depreciation and amortization and is equal to net income (loss) before income taxes plus finance costs plus depreciation.  EBITDA is not a recognized measure under IFRS. Management believes that in addition to net income (loss), EBITDA is a useful supplemental measure as it provides an indication of the results generated by the Company’s primary business activities prior to consideration of how those activities are financed, amortized or how the results are taxed in various jurisdictions as well as the cash generated by the Company’s primary business activities without consideration of the timing of the monetization of non-cash working capital items. Readers should be cautioned, however, that EBITDA should not be construed as an alternative to net income (loss) determined in accordance with IFRS as an indicator of Total Energy’s performance. Total Energy’s method of calculating EBITDA may differ from other organizations and, accordingly, EBITDA may not be comparable to measures used by other organizations.
  2. Working capital equals current assets minus current liabilities.
  3. Net Debt equals long-term debt plus obligations under finance leases plus current liabilities minus current assets.
  4. Basic and diluted shares outstanding reflect the weighted average number of common shares outstanding for the periods. See note 7 to the Company’s Condensed Interim Consolidated Financial Statements for the three months ended March 31, 2018.

Total Energy’s financial results for the three months and year ended December 31, 2017 include the financial results for Savanna Energy Services Corp. (“Savanna”) from April 5, 2017.  During the fourth quarter of 2017, the Company incurred approximately $0.9 million of non-recurring costs related to the integration of Savanna and remediation of Savanna’s enterprise resource planning (“ERP”) system.  Included in 2017 selling, general and administrative expenses are $7.6 million of non-recurring expenses, including $6.0 million of expenses related to the acquisition and integration of Savanna and $1.4 million of expenses related to the remediation of the Savanna ERP system.  Excluding these non-recurring expenses, EBITDA for 2017 was approximately $79.0 million.

Total Energy’s Contract Drilling Services segment (“CDS”) generated $51.4 million of revenue during the fourth quarter of 2017 on a fleet utilization of 23%, recording 2,476 operating days (spud to rig release) with a fleet of 119 drilling rigs, compared to 298 operating days, or 18% utilization, during the fourth quarter of 2016 with a fleet of 18 drilling rigs.  During the fourth quarter of 2017, revenue per operating day was $20,766, with 1,393 operating days in Canada (86 rigs at 18% utilization), 854 days in the United States (28 rigs at 33% utilization) and 229 days in Australia (5 rigs at 50% utilization).

The Rental and Transportation Services segment (“RTS”) generated $18.4 million of revenue during the fourth quarter of 2017, a 64% increase from the fourth quarter of 2016.  Fourth quarter major rental equipment utilization for 2017 was 24% as compared to 18% in 2016.  Segment revenue per utilized rental piece increased 8% for the fourth quarter of 2017 compared to the same period in 2016.  This segment exited 2017 with approximately 11,000 pieces of major rental equipment and 112 heavy trucks as compared to 10,000 rental pieces and 121 heavy trucks at December 31, 2016.

Revenue in the Compression and Process Services segment (“CPS”) increased 74% to $73.2 million for the three months ended December 31, 2017 compared to $42.1 million for the same period in 2016.  This segment exited 2017 with a $167.9 million backlog of fabrication sales orders as compared to $65.5 million at December 31, 2016 and $160.7 million at September 30, 2017.  At December 31, 2017, there was 40,000 horsepower in the compression rental fleet, of which approximately 22,800 horsepower was on rent.  This compares to 12,600 horsepower on rent at December 31, 2016 and 20,200 horsepower at September 30, 2017.  The compression rental fleet operated at an average utilization rate of 54% during the fourth quarter of 2017 as compared to 32% during the fourth quarter of 2016.

Total Energy’s Well Servicing segment (“WS”) generated $37.2 million of revenue during the fourth quarter of 2017 on 39,592 billable hours, or $883 per billable hour, with a fleet of 86 service rigs located in Canada (57 rigs), the United States (17 rigs) and Australia (12 rigs).  Service rig utilization for the three months ended December 31, 2017 was 34% in Canada, 30% in the United States and 45% in Australia.  The WS segment was established with the acquisition of Savanna.

During the fourth quarter, Total Energy declared a quarterly dividend of $0.06 per share to shareholders of record on December 29, 2017.  This dividend was paid on January 31, 2018.  For Canadian income tax purposes, all dividends paid by Total Energy on its common shares are designated as “eligible dividends” unless otherwise indicated.

Outlook and 2018 Capital Expenditure Budget Increase

Oil and natural gas drilling and completion activity continues to recover in the markets in which Total Energy competes with the exception of Canada, where unique market challenges have resulted in stagnant activity levels.  In this environment, the Company remains focused on the continued growth of its international businesses and strong cost management within Canadian operations.

With the exception of the Savanna ERP system remediation, the integration of Savanna is substantially complete and the Company expects to realize at least $14 million of operating and selling, general and administrative cost savings in 2018.  Total Energy will look to complete the Savanna ERP system remediation during 2018 and all related costs will continue to be expensed.

Canadian drilling activity levels have begun the seasonal decline heading into spring break-up, with natural gas producers having already significantly curtailed drilling activity over the past few weeks.  Current indications are that Canadian drilling activity following spring break up will increasingly focus on light oil opportunities, for which the Company’s drilling rig fleet is well suited.  In the United States, the Company has ceased drilling operations in the Marcellus and efforts are underway to consolidate operations in Texas and the Rocky Mountain region in order to achieve economies and efficiencies of scale.  In Australia, drilling and completion activity is expected to increase during 2018 compared to 2017.

Total Energy’s CPS segment exited 2017 with a record fabrication sales backlog.  Underlying this backlog is increasing international demand, particularly in the United States.  Demand for the rental of compression equipment in the United States is also strong and the Company has increased its 2018 capital expenditure budget by $15 million to support the continued growth of its compression rental fleet.

The Company’s increased 2018 capital budget of $48.0 million consists of $24.0 million of equipment maintenance and upgrade expenditures and $24.0 million for the CPS segment to continue its international expansion and for additions to its compression rental fleet.  Capital expenditures for 2017 totaled $39.2 million, which includes $11.8 million expended by Savanna prior to April 5, 2017.  During 2017, the Company realized proceeds of $5.9 million from the sale of equipment, notably within the RTS segment where approximately 700 rental pieces and 13 heavy trucks were disposed of or decommissioned during the fourth quarter.  Fleet rationalization will continue in 2018 within the CDS, RTS and WS segments.  The Company will also look to dispose of excess real estate arising from the acquisition of Savanna.

At December 31, 2017, the Company’s debt amounted to $327.7 million and consisted of $196.0 million drawn on the Company’s $225 million revolving primary credit facility (3.65% interest rate), $61.3 million of mortgage debt (3.56% weighted average interest rate), $67.5 million of Savanna senior unsecured notes (7.0% interest rate) and $2.9 million of limited partnership debt (5.45% weighted average interest rate).

Total Energy’s working capital position at December 31, 2017 was $54.9 million, including $25.8 million of cash and marketable securities.  Such working capital position reflects the classification of the $67.5 million of Savanna senior unsecured notes as a current liability given their maturity in May of 2018.  In addition to the Company’s $225 million revolving primary credit facility, Savanna has a $5.0 million revolving line of credit that was undrawn at December 31, 2017.  The Company was in compliance with all debt covenants at December 31, 2017 and able to fully draw on the remaining amounts available under its revolving credit facilities.  The primary credit facility also provides the Company with the option to increase such facility by $75 million subject to certain terms and conditions including the agreement of the lenders to increase their commitments.

Notes to the Financial Highlights

  1. EBITDA means earnings before interest, taxes, depreciation and amortization and is equal to net income (loss) before income taxes plus finance costs plus depreciation.  EBITDA is not a recognized measure under IFRS. Management believes that in addition to net income (loss), EBITDA is useful supplemental measure as it provides an indication of the results generated by the Company’s primary business activities prior to consideration of how those activities are financed, amortized or how the results are taxed in various jurisdictions as well as the cash generated by the Company’s primary business activities without consideration of the timing of the monetization of non-cash working capital items.
See note 17 to the 2017 audited Consolidated Financial Statements.
