Total Energy Reaffirms Reasons Savanna Shareholders Should Tender to its Offer

Posted on: March 21st, 2017 by second@dmin

CALGARY, ALBERTA–(Marketwired – March 21, 2017) –

Editors Note: There is a graph associated with this press release.

Total Energy Services Inc. (“Total Energy“) (TSX:TOT) announced today that it continues to see strong support for its offer (the “Total Offer“) to purchase the outstanding common shares of Savanna Energy Services Corp. (“Savanna“).

THE TOTAL OFFER REMAINS OPEN FOR ACCEPTANCE UNTIL 11:59 P.M. (PACIFIC TIME) ON MARCH 24, 2017 UNLESS THE TOTAL OFFER IS EXTENDED OR WITHDRAWN BY TOTAL ENERGY.

Savanna shareholders have a decision to make: combine with Total Energy or Western Energy Services Corp. (“Western“). Total Energy respects that this is a decision to be made by Savanna shareholders and invites Savanna shareholders to consider the following in making their determination.

  1. Total Energy has a 21 year track record of providing its shareholders with industry leading returns on their equity investment. In contrast, Savanna and Western have a track record of consistent under-performance. Total Energy has managed its business with prudent use of debt and currently has significant financial flexibility to complete the acquisition of Savanna.

Comparative

  1. Total Energy brings a strong balance sheet to the merger; Western, on the other hand, is one of the most heavily indebted publicly traded energy services companies in Canada. The strength of Total Energy’s balance sheet will improve the balance sheet of a combined Total Energy/Savanna whereas the combination of Savanna and Western will result in a balance sheet weighed down by debt. In fact, on March 17, 2017, Moody’s Investor Services announced that it views the proposed arrangement between Western and Savanna (the “Western Arrangement“) as credit negative for Western.(1)
  1. A combination of Savanna and Western would give rise to a highly indebted company that will be particularly vulnerable to continued energy service industry weakness. During 2016, despite operating its equipment fleet at utilization levels exceeding industry averages, Western did not generate sufficient EBITDA to cover its interest expense.
  1. Total Energy has the support of various long term, independent and sophisticated shareholders of Savanna (the “Locked-Up Shareholders“) who collectively own approximately 43.5% of the outstanding shares of Savanna. These Savanna shareholders do NOT support the Western Arrangement and have confirmed the tender of their Savanna common shares to the Total Offer.
  1. Without the support of the Locked-Up Shareholders, Savanna cannot receive the 66 2/3% support required for the Western Arrangement unless it undertakes another highly dilutive equity financing in order to further dilute existing Savanna shareholders. As a result, and despite assurances to the contrary by Savanna, the combination of Savanna and Western should be considered highly uncertain. In contrast, the Total Offer has minimal conditions, including requiring that only a bare majority of the outstanding Savanna common shares (i.e., 50% plus 1) be tendered to the Total Offer.
  1. Savanna reportedly only has the support of corporate insiders (who own less than 1% of the outstanding shares of Savanna) and the Alberta Investment Management Corporation, which only recently became a shareholder of Savanna when it participated in a highly dilutive refinancing completed by Savanna at $1.45 per share in December 2016 and became Savanna’s largest lender by refinancing Savanna’s significant debt.
  1. Total Energy has determined based on public filings by Savanna that the $20 million break fee contemplated by the Western Arrangement will NOT be payable if the current Total Offer is successful.
  1. Neither Savanna nor Western pays a dividend to its shareholders. Total Energy has maintained its dividend throughout the current industry downturn and Savanna shareholders who tender their shares prior to the expiry of the initial deposit period of the Total Offer (on March 24, 2017) will receive the $0.06 per share 2017 first quarter dividend in respect of Total Shares issued in exchange for Savanna common shares taken-up under the Total Offer prior to March 31, 2017.

Savanna shareholders are encouraged to tender to the Total Offer as soon as possible to avoid any intermediary cut off times. If Savanna shareholders have any questions regarding the Total Offer or how to tender their Savanna common shares, they should contact Laurel Hill Advisory Group (“Laurel Hill“) at 1-877-452-7184 (Toll Free in North America) or 1-416-304-0211 (Collect Outside North America) or by email at assistance@laurelhill.com.

Total Energy Responds to Increased Acquisition Price Offered for Savanna by Western Energy Services Corp. and Announces Continued Support of Locked-Up Shareholders for Total Energy’s Offer

Mar 15, 2017 – 04:05 ET

CALGARY, ALBERTA–(Marketwired – March 15, 2017) – Total Energy Services Inc. (“Total Energy“) (TSX:TOT) announced today that, notwithstanding the recently announced increase in the acquisition price payable by Western Energy Services Corp. (“Western“) in relation to the proposed plan of arrangement between Western and Savanna (the “Western Arrangement“), each of the Savanna shareholders who entered into a support agreement with Total Energy in November 2016 (collectively, the “Locked-Up Shareholders“) has confirmed to Total Energy that it continues to support Total Energy’s offer for the outstanding common shares of Savanna (the “Total Offer“). In addition, each of the Locked-Up Shareholders has confirmed to Total Energy that it has initiated the process to tender, to the Total Offer, all of the Savanna common shares owned by it, or over which it exercises control or direction. Based on public filings and additional information communicated to Total Energy concerning recent purchases of Savanna common shares made by Locked-Up Shareholders, the number of Savanna Common Shares to be tendered to the Total Offer by the Locked-Up Shareholders represents approximately 43.5% of the total number of issued and outstanding Savanna Common Shares.

THE TOTAL OFFER REMAINS OPEN FOR ACCEPTANCE UNTIL 11:59 P.M. (PACIFIC TIME) ON MARCH 24, 2017 UNLESS THE TOTAL OFFER IS EXTENDED OR WITHDRAWN BY TOTAL ENERGY.

Total Energy notes that the addition of cash consideration to the Western Arrangement does nothing to address (and, in fact, only exacerbates) certain fundamental issues that Savanna shareholders must take into consideration in relation to the Western Arrangement. Those issues include the current indebtedness of both Savanna and Western and the track records of their respective management groups. While a combination of Savanna and Western will result in a larger entity, certain Savanna shareholders who have contacted Total Energy have expressed concerns that a combined Savanna/Western entity will be saddled with significant indebtedness, limited financial flexibility and a high cost of capital. As a result, Western may need to undertake financing transactions, similar to the highly dilutive refinancing transactions completed by Savanna in December 2016, to address high debt levels, which could give rise to further dilution to the shareholders of Western (including former Savanna shareholders). In addition, recent energy market and commodity price volatility place a premium on go-forward financial flexibility and resilience, which will not be achieved by a combination of Savanna and Western. For these reasons and others, Total Energy continues to believe that the combination of Total Energy and Savanna on the terms set out in the Total Offer represents a more compelling transaction for Savanna shareholders than the Western Arrangement.

That Western, like Savanna, is burdened with substantial debt is highlighted by recently released 2016 financial information of Western. In 2016, Western’s interest on its long-term indebtedness and other finance costs (net of finance income) amounted to $22.5 million, while its 2016 reported EBITDA amounted to $3.6 million; in other words, Western’s 2016 EBITDA represented only 16% of its annual finance costs. It would appear reckless for Western to increase its bid by adding a cash payment when Western’s balance sheet is already one of the weakest balance sheets in the Canadian energy services industry and such cash payment will put additional financial pressure on a combined Savanna and Western, which will reduce any near term liquidity flexibility for the combined entity.

In assessing the merits of the Total Offer and the Western Arrangement, Total Energy encourages Savanna shareholders to review and carefully consider the relative balance sheet strength/weakness and indebtedness of both Total Energy and Western. Set out below are a number of comparative factors, based on 2016 financial information of Total Energy and Western, to consider in this regard:

Summary Comparative Table
Factor Total Energy Western Advantage
Long term debt $46.9 million $265 million Total Energy
Total debt repayable over three years $6.0 million $265 million Total Energy
Long term debt to long term debt plus equity ratio 0.11:1 0.39:1 Total Energy
Finance costs, net – 2016 $1.9 million $22.5 million Total Energy
EBITDA-2016 $14 million $3.6 million Total Energy
Interest coverage ratio 7.5x 0.16x Total Energy
Working capital: 12/31/2016 $72 million $51 million Total Energy
Working capital: 12/31/2016 proforma net of the cash component of the offers $48 million $26 million Total Energy
Credit rating Not rated B (negative outlook) – B+ (S&P)1 Caa2 – Caa3 (Moody’s)2 Total Energy
Existing capital and debt
structure
Conservative Highly Levered Total Energy
Notes
1 Standard & Poor’s Financial Services LLC (“S&P“) has assigned an issuer credit rating of B (negative outlook) to Western and an issuer credit rating of B+ and recovery rating of 2 to Western’s outstanding senior unsecured notes (the “Notes“). According to S&P, an issuer rated “B” is more vulnerable than higher-rated entities, but the issuer currently has the capacity to meet its financial commitments. Adverse business, financial or economic conditions will likely impair the issuer’s capacity or willingness to meet its financial commitments. A “negative” outlook means that a rating may be lowered. According to S&P, an obligation rated “B” is more vulnerable to non-payment than higher-rated obligations, but the issuer currently has the capacity to meet its financial commitment on the obligation. However, exposure to adverse business, financial, or economic conditions, could impair the issuer’s capacity or willingness to meet its financial commitments on the obligation.
2 Moody’s Corporation (“Moody’s“) has assigned a corporate family credit rating of Caa2 to Western and a long-term obligation rating to the Notes of Caa3. According to Moody’s, obligations rated Caa are judged to be speculative, of poor standing and are subject to very high credit risk. The modifier 2 indicates a midrange ranking and the modifier 3 indicates that the issue ranks in the lower end of Moody’s generic rating category.

Savanna’s agreement to a $15 million break fee in relation to the Western Arrangement is disturbing for several reasons. First, Savanna agreed to such break fee without first exploring with Total Energy what additional consideration Total Energy would be willing to make available in exchange for Savanna cooperation. This action reinforces observations made by Total Energy that Savanna’s approach to the Total Offer appears inconsistent with the objective of sourcing a compelling combination transaction for the benefit of all Savanna shareholders, not just insiders. Second, the $15 million break fee was agreed to in respect of an inferior offer to the Total Offer. Western, itself, indicated (in its March 13, 2017 news release), that the acquisition price originally offered by it in relation to the Western Arrangement (such price having been determined, apparently, after a full due diligence exercise on the part of Western) was not a material improvement over the consideration offered to Savanna shareholders under the Total Offer; in that news release, Western noted that the “calculated values of the two alternatives are quite close together”. The fact that Western has found it necessary to increase the acquisition price of the Western Arrangement through the addition of cash consideration just days after announcing the Western Arrangement simply confirms that the Western Arrangement was an inferior alternative to the Total Offer. The fact that Savanna has now agreed to increase the break fee by 33% is egregious.

Against that backdrop, Total Energy continues to question the appropriateness of the now increased $20 million break fee (and the desirability of the Western Arrangement from the perspective of Savanna shareholders), which represents close to 10% of the market capitalization of Savanna and also represents 51% of Savanna’s 2016 EBITDA and 556% of Western’s 2016 EBITDA. Behavior of this nature on the part of Savanna may explain, in part, the dramatic difference in the relative track records of Total Energy and Savanna in generating shareholder returns and the increasing alienation that independent Savanna shareholders have described to Total Energy vis-à-vis Savanna senior management and its board of directors. The increase to the break fee also reaffirms Total Energy’s views that Savanna’s senior management and board of directors are not aligned with Savanna’s shareholders and not interested in maximizing shareholder value.

Total Energy has determined based on public filings by Savanna that the $20 million break fee will not be payable if the Total Offer is successful. Total Energy will vigorously contest any claim for payment of the break fee made following any take-up of Savanna shares under the Total Offer on behalf of all shareholders of Savanna.

In its March 13, 2017 news release, Savanna indicated that it will “continue to reach out” to the Locked-Up Shareholders to request that they consider the merits of the Western Arrangement. The impression that Savanna apparently hoped to create with that statement – that the Locked-Up Shareholders may come to support the Western Arrangement – is misleading, insofar as Total Energy has confirmed with the Locked-Up Shareholders that each of them considers the Western Arrangement to be inferior to the Total Offer (even after giving effect to the increase in price associated with the Western Arrangement). Having regard to the significant support for the Total Offer that continues to exist among Savanna shareholders following announcement of the Western Arrangement (and again after the increase in the acquisition price payable by Western), Savanna’s suggestions that the Western Arrangement is a far more compelling transaction for independent Savanna shareholders and has higher degree of transaction certainty are questionable, at best.

Savanna’s March 13, 2017 news release repeated inaccurate information concerning the limited interactions between Total Energy and Savanna during the course of the strategic alternatives review process initiated by Savanna in December 2016. In particular, Savanna again indicated that Total Energy refused to advise Savanna of the amount by which Total Energy was prepared to increase the consideration made available under the Total Offer unless Savanna first agreed, among other things, to an “exclusive dealing” period for the benefit of Total Energy. As Total Energy noted in the notice of variation filed and mailed by it on March 13, 2017 (the “Notice of Variation“), Savanna statements to such effect are simply not true. Total Energy has made numerous attempts to engage with Savanna and indicated, on multiple occasions, a willingness to increase the consideration offered by it for the outstanding Savanna common shares in exchange for cooperation from Savanna. Written correspondence forwarded by Total Energy to Savanna’s financial advisor on February 13, 2017 clearly indicated that the “exclusive dealing” period referred to by Savanna would only come into effect following an agreement between Total Energy and Savanna upon the amount of the additional consideration to be made available by Total Energy. A copy of that correspondence is appended to the Notice of Variation, as Schedule “A”, and readers are directed to paragraph 1 (on page 2 of that schedule) for information concerning the timing of the exclusive dealing period requested by Total Energy.

The fact that Savanna refused, in mid-February 2017, to engage with Total Energy prevented Savanna shareholders from receiving the best price that Total Energy could have made available at that time. Cooperation in combining Total Energy and Savanna in mid-February 2017 (or earlier in response to prior overtures by Total Energy) would have enabled Total Energy to avoid a number of costs subsequently incurred by it (and additional costs that may be incurred), which could have been added to the consideration under the Total Offer for the benefit of Savanna shareholders.

Since the announcement of the Western Arrangement, Total Energy has received feedback about the Total Offer from various sources. Total Energy is encouraged by unsolicited statements of support received from former officers and directors of Savanna and a number of current Savanna employees who are concerned about the future of their company. Total Energy is also encouraged by unsolicited supportive feedback received from Savanna’s customers, who have, among other things, commented on the relative financial stability of the combined entity.

Total Energy Services Inc. Finalizes Notice of Variation

Posted on: March 13th, 2017 by second@dmin

Total Energy Services Inc. Finalizes Notice of Variation To Confirm Waiver of Minimum Tender Condition and Respond to Various Savanna Assertions

CALGARY, ALBERTA – Total Energy Services Inc. (“Total Energy“) announced today that it has finalized a notice of variation, dated March 13, 2017 (the “Notice of Variation“), in relation to its previously announced waiver of the 66 2/3% minimum tender condition (the “Minimum Tender Condition“) to its offer (the “Total Offer“) to purchase all of the issued and outstanding common shares (the “Savanna Common Shares“) of Savanna Energy Services Corp. (“Savanna“). The Total Offer remains subject to the statutory minimum condition, which requires that more than 50% of the outstanding Savanna Common Shares (excluding Savanna Common Shares held by Total Energy and certain related persons) be tendered to the Total Offer and not withdrawn. The waiver of the Minimum Tender Condition does not affect the consideration offered by Total Energy for Savanna Common Shares or the expiry time of the Total Offer. Total Energy expects that the Notice of Variation will be filed with applicable securities regulatory authorities and mailed to registered Savanna securityholders today.  Assuming all other conditions of the Total Offer are satisfied as of the expiry of the initial deposit period, on March 24, 2017, Total Energy expects to take-up and pay for all Savanna Common Shares deposited (and not withdrawn) under the Total Offer at that time and to extend the Total Offer in accordance with applicable Canadian securities laws.

THE TOTAL OFFER REMAINS OPEN FOR ACCEPTANCE UNTIL 11:59 P.M. (PACIFIC TIME) ON MARCH 24, 2017 UNLESS THE OFFER IS EXTENDED OR WITHDRAWN BY TOTAL ENERGY.

Total Energy has confirmed with the Savanna shareholders who entered into support agreements with Total Energy in November 2016 (the “Locked-Up Shareholders“) that all of them view the Total Offer as superior to the proposed combination of Savanna and Western Energy Services Corp. (“Western“) announced by Savanna on March 9, 2017 and that all Locked-Up Shareholders will tender their Savanna Common Shares to the Total Offer.  Based on public filings and additional information communicated to Total Energy concerning recent purchases made by Locked-Up Shareholders, the number of Savanna Common Shares to be tendered by the Locked-Up Shareholders represents approximately 43.5% of the total number of issued and outstanding Savanna Common Shares.

Information concerning the waiver of the Minimum Tender Condition is set out in the Notice of Variation, which will be available on SEDAR (at www.sedar.com), under Savanna’s issuer profile, when it is filed with Canadian securities regulatory authorities later today. Savanna securityholders are urged to review the Notice of Variation carefully and in its entirety. The Notice of Variation will also be available on Total Energy’s website at www.totalenergy.ca/savannaoffer.

Savanna’s use of 2014 Financial Data for Comparative Purposes

In its Notice of Change to Directors’ Circular, dated March 9, 2017 (the “Savanna Notice of Change“), Savanna presented certain 2014 financial information to suggest that the combined entity resulting from a combination of Savanna and Western would be better positioned to benefit from an industry recovery than Total Energy following a combination with Savanna.  In making an assessment of that suggestion, Savanna shareholders should consider the following performance tables showing the comparative performance of Western, Savanna and Total Energy.

Comparative Shareholder Returns

The following comparative shareholder return graph has been prepared by Total Energy’s financial advisor, GMP FirstEnergy, and is based upon share trading data, as reported by the TSX, since Western completed a corporate reorganization and recapitalization transaction on December 22, 2009 and includes cash dividends paid to shareholders of Total Energy, Savanna and Western over the time period noted below.

The foregoing graph illustrates the dramatic underperformance of each of Savanna and Western in generating shareholder returns relative to Total Energy and the Canadian energy services industry over the past seven years.  The industry leading track record of Total Energy in the creation of sustainable shareholder returns is also clearly illustrated.  The combination of Savanna and Western pursuant to the proposed plan of arrangement between Savanna and Western (the “Western Arrangement“) will result in two heavily indebted companies becoming one under the stewardship of directors and management that have materially and consistently underperformed their industry peers, particularly Total Energy. In contrast, the combination of Total Energy and Savanna will provide Savanna shareholders with the benefit of a board of directors and management team that has consistently provided Total Energy shareholders with industry leading shareholder returns.

Comparative

Comparative Stewardship Record

The following table further illustrates the inefficient capital allocation and stewardship records of each of Savanna and Western relative to Total Energy, as well as the vulnerability a combined Savanna and Western entity would have to continued challenging industry conditions as a result of their substantial debt levels.

Note:

(1)   EBITDA means earnings before interest, taxes, depreciation and amortization and is equal to net income (loss) before income taxes plus finance costs plus depreciation expense plus impairment expense plus loss on asset decommissioning minus finance income.  EBITDA is not a recognized measure under IFRS. The EBITDA calculations included in this table have been provide to permit Total Energy to respond to certain statements made by Savanna on page 7 of the Savanna Notice of Change. Management of Total Energy believes that in addition to net income (loss), EBITDA is useful supplemental measure as it provides an indication of the results generated by Total Energy’s primary business activities prior to consideration of how those activities are financed, amortized or how the results are taxed in various jurisdictions as well as the cash generated by Total Energy’s primary business activities without consideration of the timing of the monetization of non-cash working capital items. Readers should be cautioned, however, that EBITDA should not be construed as an alternative to net income (loss) determined in accordance with IFRS as an indicator of Total Energy’s performance. Total Energy’s method of calculating EBITDA may differ from other organizations and, accordingly, EBITDA may not be comparable to measures used by other organizations.

Total Energy Responds to Savanna Transaction Announcement….

Posted on: March 9th, 2017 by second@dmin

Total Energy Responds to Savanna Transaction Announcement and Announces Waiver of 66 2/3% Minimum Tender Condition Under the Total Energy Offer

CALGARY, ALBERTA–(Marketwired – March 9, 2017) – Total Energy Services Inc. (“Total Energy” or the “Corporation“) (TSX:TOT) announced today that it has had an opportunity, in conjunction with its financial and legal advisors, to consider publicly available information concerning the proposed business combination between Savanna Energy Services Corp. (“Savanna“) and Western Energy Services Corp. (“Western Energy“), which was announced earlier today.

Total Energy is of the view that its December 9, 2016 offer (as amended, the “Total Offer“) to purchase all of the outstanding common shares of Savanna represents full and fair consideration for the shareholders of Savanna, and believes the result of the strategic alternatives review process initiated by Savanna in December 2016 (the “Strategic Review“) confirms that view. It appears that, in connection with the Strategic Review, offers for Savanna were solicited from a broad group of industry participants over an extended period. The results of that process are now known and Total Energy believes the proposed arrangement between Savanna and Western Energy (the “Arrangement“) represents a far less compelling transaction for Savanna shareholders than a combination with Total Energy on the terms set out in the Total Offer. That belief is clearly shared by Savanna shareholders who have contacted Total Energy following the announcement of the Arrangement to express their dissatisfaction with both the proposed Arrangement and Savanna’s Board of Directors.

Total Energy has confirmed with the Savanna shareholders who entered into support agreements with Total Energy in November 2016 (the “Locked-Up Shareholders“) that each of them considers the Arrangement to be inferior to the transaction contemplated by the Total Offer. Each of the Locked-Up Shareholders has confirmed to Total Energy that it continues to support the Total Offer and intends to tender its Savanna common shares to the Total Offer, notwithstanding the announcement of the Arrangement. The number of Savanna common shares that the Locked-Up Shareholders plan to tender to the Total Offer represents approximately 40% of the total number of issued and outstanding Savanna common shares.

As noted in its March 1, 2017 Notice of Change and Notice of Variation (the “Notice of Change and Variation“), Total Energy has, at various times since early January 2017, publicly signaled a willingness, and has attempted, to engage with Savanna on a cooperative basis. Despite Total Energy’s attempts to encourage cooperative and constructive engagement, Savanna has refused to do so. Total Energy is of the view that the refusal of Savanna to engage with Total Energy and the agreement to pay the “break fee” described below are difficult to reconcile with the proper conduct of a strategic alternatives review process. The news releases disseminated by Savanna and Western Energy to announce the Arrangement both indicate that existing directors of Savanna and members of the Savanna senior executive group will have an ongoing role in the combined entity (including the President and Chief Executive Officer of Savanna who is expected to become a director of Western Energy if the Arrangement is successfully completed), and Total Energy believes that Savanna’s refusal to engage, after numerous invitations from Total Energy to do so, and other actions taken by Savanna since September 2016 (when Total Energy first raised the subject of a business combination with senior executives of Savanna), is more consistent with a desire to entrench than a serious commitment to source a compelling strategic opportunity for the benefit of Savanna shareholders.

Total Energy also believes that various actions taken by Savanna represent defensive tactics (for securities law purposes), aimed at thwarting the efforts of Total Energy to combine both corporations, despite the existence of significant support from Savanna shareholders for such a transaction. Those defensive tactics include the $15 million break fee agreed to between Savanna and Western Energy, which is significantly higher than the $10 million reciprocal break fee suggested by Total Energy on November 17, 2016 during a brief meeting between the Chairs and Chief Executive Officers of Total Energy and Savanna. During that meeting, the Chair of Savanna indicated that a $10 million break fee was excessive and would not be acceptable to Savanna. Savanna’s agreement to a $15 million break fee is particularly troubling in light of the fact it is mathematically improbable for Savanna to obtain the requisite voting support for the Arrangement without the support of the Locked-Up Shareholders, who as indicated above, have confirmed to Total Energy that they do not support the Arrangement, and the break fee appears to be intended to forestall any alternative transactions. It is Total Energy’s understanding that Savanna did not engage with any of the Locked-Up Shareholders prior to announcement of the Arrangement. Payment of the $15 million break fee, assuming the Arrangement is not completed between Savanna and Western Energy and such break fee becomes payable as a result of the successful completion of the Total Offer, is a direct erosion of value for Savanna shareholders.

If the Total Offer is successful, Total Energy intends, on behalf of all Savanna shareholders, to vigorously investigate all actions taken by Savanna’s directors and senior executives since Total Energy announced its intention to commence a take-over bid for Savanna and take such steps it may consider necessary, including appropriate legal action, to recover any losses suffered by Savanna and its shareholders as a result of improper agreements or payments made by Savanna since that time, including the amount of increases to change of control payments in favour of Savanna’s directors and senior executives, as well as any break fee or other change of control payments paid or payable by Savanna as a result of completion of the Total Offer or non-completion of the Arrangement.

In the takeover bid circular disseminated by Total Energy in connection with the Total Offer, the Corporation noted various benefits that a combination of Savanna and Total Energy would have from the perspective of Savanna shareholders, which included, among other things, an opportunity to obtain an investment in a well-capitalized energy services business with limited indebtedness and a strong balance sheet. The same cannot be said of the combined entity that would emerge from the Arrangement. Like Savanna, Western Energy is heavily indebted and a combination of Savanna and Western Energy will simply result in a larger entity with significant indebtedness, limited financial flexibility and a high cost of capital. Furthermore, recent energy market and commodity price volatility place a premium on go-forward financial flexibility and resilience, something the Arrangement cannot provide.

In addition, Total Energy believes that, based upon recent trading prices and the terms of the Total Offer and the Arrangement, the Arrangement does not offer Savanna shareholders meaningful value or upside above the consideration offered by Total Energy.

Based on the news releases announcing the Arrangement, it appears that Alberta Investment Management Corp. (“AIMCo“) has waived its change of control rights in connection with the Arrangement. If AIMCo is, in fact, aligned with the interests of all Savanna shareholders, given the strength of the Savanna shareholder support for the Total Offer, the comparative financial strength of Total Energy and pro forma creditworthiness of a combined Total Energy/Savanna, Total Energy would expect AIMCo to similarly waive its change of control rights in connection with the Total Offer upon its completion.

About Total Energy’s Offer to Savanna Shareholders

Full details of the Total Offer are contained in Total Energy’s offer to purchase and associated take-over bid circular dated December 9, 2016 (the “Original Offer and Circular“), as amended, varied and supplemented by the Notice of Change and Variation. Those documents are available under Savanna’s profile at www.sedar.com and on Total Energy’s website at www.totalenergy.ca/savannaoffer. Securityholders of Savanna are urged to read the Original Offer and Circular, the Notice of Change and Variation, the letter of transmittal that accompanied the Original Offer and Circular, the amended letter of transmittal that accompanied the Notice of Change and Variation, and the notice of guaranteed delivery for the Offer (collectively, the “Offer Documents“) and to consider the important information set out in those documents. Copies of the Offer Documents may be obtained free of charge at www.sedar.com (under Savanna’s profile) and may also be obtained free of charge upon request from the Corporate Secretary of Total Energy, at 2550, 300 – 5th Avenue S.W. Calgary, Alberta T2P 3C4, or from Laurel Hill Advisory Group (“Laurel Hill“) at the numbers and email address shown below under the heading “Advisors to Total Energy”.

In light of the announcement of the Arrangement, the Board of Directors of Total Energy (the “Total Board“) has determined to waive the minimum tender condition (the “Minimum Tender Condition“) set out in the Total Offer. The Minimum Tender Condition requires that more than 66 2/3% of the Savanna common shares (calculated on a fully diluted basis) held by Savanna shareholders who are not Interested Common Shareholders (as defined in the Original Offer and Circular) be validly tendered under the Total Offer and not withdrawn. The statutory minimum condition described in the Original Offer and Circular will remain applicable. The statutory minimum condition (which, under National Instrument 62-104 Takeover Bids and Issuer Bids, may not be waived by Total Energy) requires that Savanna common shares constituting more than 50% of the outstanding Savanna common shares be tendered to the Total Offer and not withdrawn (excluding any Savanna common shares beneficially owned or over which control or direction is exercised by Total Energy or any person acting jointly or in concert with Total Energy). Total Energy expects that a notice of variation confirming waiver of the Minimum Tender Condition will be filed and mailed to Savanna shareholders (and others) on or prior to Monday, March 13, 2017 and that the initial deposit period under the Total Offer will expire as of 11:59 PM (Pacific time) on March 24, 2017.

Notes 1 through 4 please refer to the Notes to the Financial Highlights set forth at the end of this release.

Total Energy’s results for the three months ended December 31, 2016 reflect improving North American industry activity levels from the historic lows experienced earlier in the year. Despite increased activity levels, fierce price competition continued and operating margins remained under pressure, particularly within the Contract Drilling Services (“CDS”) and Rentals and Transportation Services (“RTS”) segments where spot market pricing for certain equipment and services dropped to levels never before witnessed during the Company’s 20 year history. Also negatively impacting the Company’s results for the fourth quarter of 2016 was approximately $1.2 million of non-recurring expenses which related primarily to the Company’s outstanding offer to purchase all of the common shares (“Savanna Shares”) of Savanna Energy Services Corp. (“Savanna”).

Total Energy’s CDS segment achieved 18% utilization during the fourth quarter of 2016, recording 298 operating days (spud to rig release), compared to 241 operating days, or 15% utilization, during the fourth quarter of 2015. Revenue per operating day decreased 16% for the fourth quarter of 2016 relative to the prior year comparable period due to reduced pricing. Effective July 1, 2016, the Company changed its estimate of depreciation for drilling rigs and related equipment by establishing a minimum depreciation charge and reducing residual values to zero. As a result of this change in estimate, there was an increase in depreciation expense of $1.8 million for the year ended December 31, 2016.

The RTS segment achieved a utilization rate on major rental equipment of 18% during the fourth quarter of 2016 as compared to 17% during the fourth quarter of 2015. Segment revenue per utilized rental piece decreased 9% for the fourth quarter of 2016 compared to the same period in 2015 due to lower pricing. This segment exited the fourth quarter of 2016 with approximately 10,000 pieces of major rental equipment and 121 heavy trucks as compared to 10,000 rental pieces and 119 heavy trucks at December 31, 2015.

Revenue in the Compression and Process Services (“CPS”) segment increased 16% to $42.1 million for the three months ended December 31, 2016 compared to $36.5 million for the same period in 2015. This segment exited the fourth quarter of 2016 with a $65.5 million backlog of fabrication sales orders as compared to $48.9 million at December 31, 2015 and $62.0 million at September 30, 2016. At December 31, 2016, there was 39,200 horsepower in the compression rental fleet, of which approximately 12,600 horsepower was on rent as compared to 15,800 horsepower on rent at December 31, 2015 and 11,400 horsepower at September 30, 2016. The gas compression rental fleet operated at an average utilization rate of 32% during the fourth quarter of 2016 as compared to 42% during the fourth quarter of 2015.

Total Energy continued to successfully diversify its revenue base through the growth of its international business operations. This is evidenced by the fact that 20% of 2016 consolidated revenue was generated in Australia and the United States by the CPS and RTS segments.

During the fourth quarter, Total Energy declared a quarterly dividend of $0.06 per share to shareholders of record on December 31, 2016. This dividend was paid on January 31, 2017. For Canadian income tax purposes, all dividends paid by Total Energy on its common shares are designated as “eligible dividends” unless otherwise indicated. During the fourth quarter of 2016, 20,000 common shares were purchased under the Company’s normal course issuer bid at an average price of $13.33 per share (including commissions). Such shares were cancelled.

Outlook

With an improvement in oil and natural gas prices over the course of 2016, North American oil and natural gas drilling and completion activity levels began to recover during the fourth quarter of 2016. Current indications from announced capital budgets are that North American oil and natural gas producers will increase their capital expenditure programs for 2017 as compared to 2016 and the relative stability of oil prices thus far in 2017 has supported increased activity levels. This increase in drilling and completion activity has contributed to increased demand for compression and process equipment and related services, including increased demand for compression rental equipment. While pricing has improved modestly, it remains very low by historical standards, particularly within the CDS and RTS segments, and higher activity levels will need to be sustained for some time before meaningful price recovery is achieved.

Throughout the industry downturn, which began in the second half of 2014, Total Energy has executed a deliberate business strategy focused on preserving its asset base, operating capacity and financial strength. Such strategy included rationalizing the Company’s cost structure without reducing its branch infrastructure or cannibalizing its equipment fleet and declining business opportunities where price expectations were unreasonable or credit risk was unacceptable. Such strategy was expected to, and did result in, a loss of market share within the CDS and RTS segments and operating costs were higher than if the Company determined to close branch locations that were particularly slow. However, with the recent recovery in activity levels and a modest increase in pricing, Total Energy has begun to recover lost market share and expects to further recover market share should industry conditions continue to improve. Also, Total Energy will not be burdened by pricing arrangements made during the depths of the downturn.

While properly maintaining its equipment, preserving its operating infrastructure and leaving employee benefit programs intact resulted in higher operating costs during 2016, this investment was made so the Company would be able to fully participate in an eventual industry recovery without incurring significant start-up costs or undue operational and human resource challenges. The benefit of this investment is evidenced by the fact that all segments have been successful in retaining sufficient personnel to respond to increased activity levels. As a further illustration, during the first quarter of 2017, the CDS segment reactivated Rig 1, its lightest double and oldest rig. Despite being idle for well over a year, Rig 1 experienced nominal start-up costs and no repair down time during operations.

Total Energy continues to invest in the growth and development of its business segments. In January 2017, the Company announced a preliminary 2017 capital expenditure budget of $22.8 million, including $15.6 million of expansion capital. $9.0 million is being directed to expand the RTS segment’s Canadian access matting business. $6.6 million is being invested into the continued growth of the CPS segment, including expanding its fabrication capacity into the northeast United States. In that regard, the CPS segment has recently secured a 100,000 square foot manufacturing facility in Weirton, West Virginia and expects to commence operations from that location during the second quarter of 2017.

Following an unsuccessful attempt to engage with Savanna to explore a combination of Total Energy and Savanna, on December 9, 2016 Total Energy made an offer to acquire all Savanna Shares, which offer was amended on March 1, 2017 to, among other things, increase the consideration offered by $0.20 cash per Savanna Share. Total Energy’s offer is open for acceptance by Savanna Shareholders until March 24, 2017. Total Energy believes that consolidation within the North American energy services industry is required in order to better compete in an increasingly global, diversified and competitive energy market, regardless of whether a sustained industry recovery is underway or not. The difficult industry environment experienced over the past two years has exposed energy service industry overcapacity, inefficiency and excess indebtedness and highlights the need for consolidation under proven, experienced and disciplined management that is aligned with shareholders through meaningful equity ownership. Savanna and Total Energy shareholders share this belief as evidenced by the strong support each has demonstrated thus far for such a combination that would see Total Energy issue equity to the public for the first time since 2005. Total Energy’s Board of Directors, management and staff welcome the opportunity to join with Savanna’s management and staff to operate the combined business in a sustainable and disciplined manner that will benefit all stakeholders and continue to provide Total Energy’s shareholders, both existing and new, with an industry leading return on their equity investment in the Company.

Total Energy’s financial condition remains very strong, with $71.8 million of positive working capital (including $21.0 million, or $0.68 per share, of cash and marketable securities) and no net debt as at December 31, 2016. The Company’s only bank debt consists of a $46.9 million mortgage loan, which is secured by approximately 60% of the Company’s real estate holdings (based on value). Total Energy’s $65 million operating credit facility was renewed during the fourth quarter of 2016 to February 2019, was undrawn at December 31, 2016 and remains undrawn today. The Company’s mortgage loan and operating credit facility require that it maintain a debt (less cash) to equity ratio below 2.5 to 1.0 and a current ratio of at least 1.3 to 1.0. As at December 31, 2016, Total Energy’s debt to equity ratio was 0.09 to 1.0 and the current ratio was 2.44 to 1.0.

Total Energy has not recorded an impairment or write-down of any of its acquisitions or capital assets (including goodwill) during its 20 year history and was one of the very few public North American energy services companies that maintained its dividend to shareholders through the very challenging industry conditions experienced over the past two years.

Notes to Financial Highlights

(1) EBITDA means earnings before interest, taxes, depreciation and amortization and is equal to net income (loss) before income taxes plus finance costs plus depreciation minus finance income. EBITDA is not a recognized measure under IFRS. Management believes that in addition to net income (loss), EBITDA is useful supplemental measure as it provides an indication of the results generated by the Company’s primary business activities prior to consideration of how those activities are financed, amortized or how the results are taxed in various jurisdictions as well as the cash generated by the Company’s primary business activities without consideration of the timing of the monetization of non-cash working capital items.
(2) Cashflow for the year ended December 31, 2015 is net of $12.7 million of income taxes paid during the period that relates to 2014 taxable income as a result of the Company not having been required to make income tax installment payments during 2014 and $7.1 million paid as a result of a Canadian federal income tax reassessment that has been appealed by the Company.
(3) Working capital equals current assets minus current liabilities.
(4) Net Debt equals long-term debt plus obligations under finance leases plus current liabilities minus current assets.
