Total Energy’s results for the three and 12 months ended December 31, 2025 represent record quarterly and annual financial results. Strong North American demand for natural gas compression and process equipment and the deployment of upgraded drilling and service rigs in Australia more than offset lower North American drilling and completion activity.

Fourth quarter CDS segment activity in 2025 was consistent with activity in the fourth quarter of 2024. The acquisition of Saxon in March 2024 and subsequent reactivation of upgraded equipment at higher day rates was partially offset by a decrease in Canadian drilling activity. Increased fourth quarter segment EBITDA relative to 2024 was a result of improved Australian results more than offsetting a year over year decline in North American EBITDA. During the fourth quarter of 2025 ten idle drilling rigs in Canada were decommissioned, with no impairment expense being recognized as the estimated salvage value of such equipment is consistent with its net book value.

RTS segment revenue increased for the fourth quarter of 2025 compared to 2024 due to increased revenue per utilized piece resulting from a change in the mix of equipment operating that offset lower North American equipment utilization. The acquisition of 280 major rental pieces located in Oklahoma on June 10, 2025 also mitigated the year over year decline in industry activity levels in the United States. Despite a year over year increase in revenue per utilized piece of rental equipment, fourth quarter segment EBITDA decreased compared to 2024 given higher operating costs associated with the mix of equipment operating and competitive market conditions that did not allow for price increases necessary to offset cost inflation.

2025 fourth quarter CPS segment revenue was higher compared to 2024 due to increased North American fabrication sales and parts and service activity that was partially offset by lower compression rental fleet revenue following the sale of several active compression rental units. The year over year increase in fourth quarter segment EBITDA was a result of increased fabrication and parts and service activity, improved fabrication margins and the sale of compression rental units. The quarter end fabrication sales backlog increased to $446.7 million compared to the $189.0 million backlog at December 31, 2024. Sequentially the quarter-end fabrication sales backlog increased by $65.9 million, or 17%, compared to the $380.8 million backlog at September 30, 2025.

(1) See Note 1 of the Notes to the Financial Highlights set forth at the end of this release.
(2) Service hours is defined as well servicing hours of service provided to customers and includes paid rig move and standby.
(3) The Company reports its service rig utilization for its operational service rigs in North America based on service hours of 3,650 per rig per year to reflect standard 10 hour operations per day. Utilization for the Company’s service rigs in Australia is calculated based on service hours of 8,760 per rig per year to reflect standard 24 hour operations.

Fourth quarter Well Servicing segment revenue increased in 2025 as compared to 2024 due to increased activity in Australia following the upgrade and reactivation of several service rigs over the past year. Increased revenue from Australian operations was partially offset by lower WS segment revenue in the United States. Segment EBITDA for the fourth quarter of 2025 was higher compared to 2024 due to the deployment of upgraded rigs in Australia that was partially offset by lower Canadian operating margins due to competitive market conditions. During the fourth quarter of 2025 six idle service rigs in Canada were decommissioned with no impairment expense being recognized.

Corporate

During the fourth quarter of 2025, Total Energy continued to execute on its 2025 capital expenditure program with $15.8 million of capital expenditures that was primarily directed towards the upgrade of drilling and service rigs in Australia and Canada. To December 31, 2025, $93.7 million of capital expenditures were funded, including approximately $16.6 million of capital commitments carried forward from 2024 and the acquisition of 280 pieces of rental equipment located in Oklahoma in June 2025 for $9.0 million.

Total Energy exited 2025 with $108.0 million of positive working capital, including $59.6 million of cash. At December 31, 2025 there was $120.0 million of available credit under the Company’s $175 million of revolving bank credit facilities and the interest rate on the Company’s outstanding bank debt was 4.08%.

$38.8 million was returned to shareholders during 2025 by way of dividends and share repurchases under the Company’s normal course issuer bid. Bank debt was also reduced by $55.9 million during the year and for the first time since the acquisition of Savanna Energy Services in 2017, cash on hand exceeded bank debt at December 31, 2025.

Outlook

Global economic and political uncertainty and commodity price volatility continue to weigh on industry sentiment, particularly in the United States where producers remain measured with their drilling and completion capital budgets. Offsetting this uncertainty are stable Australian industry conditions, continued strong North American demand for compression and process equipment and an improving Canadian outlook following the Trans Mountain pipeline expansion and the startup of the LNG Canada liquified natural gas export terminal. The CPS segment’s record $446.7 million fabrication sales backlog at December 31, 2025 provides visibility for the CPS segment’s business into 2027.

In January 2026 the Company determined to cease its well servicing operations in the United States and to dispose of the related operating equipment and real estate. The operating equipment was sold in February 2026 and an agreement to sell the real estate has been entered into, with closing expected to occur by June 30, 2026.

Despite continued market uncertainty, targeted opportunities to deploy capital exist. The Board of Directors of the Company has approved a $31.6 million increase to the Company’s 2026 capital budget to $87.4 million. This increase will be directed towards the substantial upgrade of two drilling rigs. One rig is a currently active Australian rig that will be taken out of service for approximately two months in mid-2026 to complete the upgrade following which it will be redeployed under a new long term contract. The second rig is an idle Canadian mechanical double rig that will be upgraded to an AC electric triple pad rig.   This upgrade follows the upgrade of a similar idle Canadian rig in 2025 that commenced operations in November 2025 and whose performance has exceeded expectations. Demand for this class of rig is very strong and the Company will look to contract the rig near completion which is expected by the first quarter of 2027. Total Energy intends to finance its 2026 capital budget with cash on hand and cash flow.

Total Energy enters its 30th year in business with cautious optimism and a continued commitment to its founding principles of “Focus, Discipline and Growth” that have served it well over the past three decades and numerous industry cycles.

Notes to the Financial Highlights

(1) EBITDA means earnings before interest, taxes, depreciation and amortization and is equal to net income (loss) before income taxes plus finance costs plus depreciation. EBITDA is not a recognized measure under IFRS. Management believes that in addition to net income (loss), EBITDA is a useful supplemental measure as it provides an indication of the results generated by the Company’s primary business activities prior to consideration of how those activities are financed, amortized or how the results are taxed in various jurisdictions as well as the cash generated by the Company’s primary business activities without consideration of the timing of the monetization of non-cash working capital items. Readers should be cautioned, however, that EBITDA should not be construed as an alternative to net income determined in accordance with IFRS as an indicator of Total Energy’s performance. Total Energy’s method of calculating EBITDA may differ from other organizations and, accordingly, EBITDA may not be comparable to measures used by other organizations.

(2) Working capital equals current assets minus current liabilities.

(3) Net Debt equals long-term debt plus lease liabilities plus current liabilities minus current assets. Management believes this measure provides a useful indication of the Company’s liquidity.

(4) Basic and diluted shares outstanding reflect the weighted average number of common shares outstanding for the periods. See note 17 to the Company’s 2025 Financial Statements.

CALGARY, Alberta, Jan. 13, 2026 (GLOBE NEWSWIRE) — Total Energy Services Inc. (TSX:TOT) (“Total Energy” or the “Company”) announces its preliminary 2026 capital expenditure budget of $55.8 million, which includes $34.8 million of maintenance capital and $21.0 million of growth capital. The Company intends to finance its capital expenditure program with cash on hand and cash flow from operations.

$28.4 million of the 2026 maintenance capital budget will be directed towards equipment maintenance and re-certifications as well as the purchase of new drill pipe. The remaining $6.4 million is non-recurring and includes $4.0 million for the upgrade and harmonization of enterprise resource planning systems across all business segments and $2.4 million for the acquisition of an operating facility located in the United States that is currently leased by the Compression and Process Services (“CPS”) segment.

2026 growth capital relates primarily to the construction of a new service rig to be deployed in Australia and continued growth of the North American natural gas compression fleet. The Australian service rig is expected to be completed and commence operations by the second quarter of 2027 under a long term contract.

In addition, approximately $24.5 million of 2025 capital expenditure commitments will carry into 2026. These commitments relate primarily to the previously announced expansion of the CPS segment’s fabrication capacity in the United States, the upgrade and reactivation of an idle Australian service rig and upgrades to several Canadian drilling rigs that are currently working. The CPS segment’s expansion is expected to be completed by the first quarter of 2027 and the Australian service rig is expected to be completed and commence operations by the second quarter of 2026.

The Board of Directors of Total Energy has also approved a 20% increase to the Company’s quarterly dividend to $0.12 per common share beginning for the quarter ended March 31, 2026.

Total Energy’s financial results for the third quarter of 2025 reflect improved Australian financial results following the upgrade and reactivation of several drilling and service rigs, continued strong North American demand for compression and process equipment and competitive North American drilling and completion market conditions. Negatively impacting 2025 third quarter results was a $1.8 million year over year change in foreign currency exchange impact on Compression and Process Services segment financial results and a $1.5 million year over year increase in share based compensation expense due to share price appreciation.

Third quarter CDS segment activity was lower in 2025 compared to 2024 due to a year over year decline in North American onshore drilling activity. Canadian activity was also negatively impacted by customer consolidation and a loss of market share in more competitive areas of the market. Partially offsetting the North American decline was increased Australian activity following the reactivation of several upgraded drilling rigs over the past year. The year over year increase in third quarter Australian revenue per operating day reflects higher day rates received for upgraded drilling rigs.

RTS segment revenue increased for the third quarter of 2025 compared to 2024 due to stable activity in Canada and the acquisition of 280 major rental pieces located in Oklahoma on June 10, 2025. Despite a year over year increase in revenue per utilized piece of rental equipment arising from a change in the mix of operating equipment, third quarter segment EBITDA decreased compared to 2024 as competitive market conditions did not allow for price increases necessary to offset cost inflation.

(2) Rental equipment utilization is measured on a horsepower basis.

2025 third quarter CPS segment revenue was higher compared to 2024 due to increased North American fabrication sales and parts and service activity that was partially offset by lower compression rental fleet utilization. The year over year decline in third quarter segment EBITDA was a result of a negative $1.8 million foreign currency exchange impact resulting from a declining Canadian dollar relative to the U.S. dollar, the timing of execution of certain low margin fabrication projects and cost inflation arising from tariff related supply chain challenges. Sequentially, the quarter end fabrication sales backlog increased by $76.9 million, or 25%, from the $303.9 million backlog at June 30, 2025.

Third quarter WS segment revenue increased in 2025 as compared to 2024 due to increased activity in Australia following the upgrade and reactivation of several service rigs over the past year. Increased revenue from Australian operations was partially offset by lower North American WS segment revenue, particularly in the United States. Segment EBITDA for the third quarter of 2025 was slightly lower compared to 2024 due to lower pricing in Canada and substantially lower utilization in the United States that was partially offset by increased utilization and pricing realized in Australia for reactivated rigs.

Corporate

During the third quarter of 2025, Total Energy continued to execute on its 2025 capital expenditure program with $17.2 million of capital expenditures that was primarily directed towards the upgrade of drilling and service rigs in Australia and Canada. To September 30, 2025, $77.9 million of capital expenditures were funded, including approximately $16.6 million of capital commitments carried forward from 2024 and the acquisition of 280 pieces of rental equipment located in Oklahoma on June 10, 2025 for $9.0 million.

Total Energy exited the third quarter of 2025 with $113.5 million of positive working capital, including $57.1 million of cash, and $85.0 million of available credit under its $175 million of revolving bank credit facilities. At September 30, 2025, bank debt less cash was $32.9 million and the interest rate on the Company’s outstanding bank debt was 4.50%.

During the first nine months of 2025, $24.7 million was returned to shareholders by way of dividends and share repurchases under the Company’s normal course issuer bid. Bank debt was also reduced by $20.9 million during this period.

Outlook

Oil prices remained under pressure during the third quarter of 2025 due to global economic uncertainty and concerns over excess supply. Oil price weakness continues to weigh on North American drilling and completion activity levels, particularly in the United States. Offsetting such weakness are stable Australian industry conditions, improving North American natural gas prices and continued strong North American demand for compression and process equipment. The CPS segment’s record $380.8 million fabrication sales backlog at September 30, 2025 provides visibility well into the second half of 2026.

Certain low margin fabrication projects that were awarded in the second half of 2024 when industry conditions were less favorable negatively impacted third quarter CPS segment profitability when construction on such projects began. These projects are scheduled to be substantially completed by the end of 2025. The CPS segment has also taken steps to mitigate supply chain and other issues arising from the trade dispute between Canada and the United States that have contributed to cost inflation. Those steps include commencement of the previously announced expansion of the CPS segment’s fabrication capacity in Weirton, West Virginia. Plant construction is currently expected to be completed by the first quarter of 2027.

In Canada, the upgrade of an idle mechanical double drilling rig to a state of the art AC electric triple pad rig was completed in early November and such rig has commenced drilling operations for a major Canadian producer in the Alberta Montney formation. Should the rig’s operational and financial performance meet expectations, the Company will consider additional upgrade opportunities for similar idle rigs subject to market conditions.

In Australia, the upgrade of an idle drilling rig acquired as part of the Saxon acquisition in 2024 is near completion and such rig is expected to commence drilling operations under a long term contract by the end of November, 2025. This will bring the Company’s active Australian drilling rig count to 13 rigs, the highest ever. In addition, an idle Australian service rig is currently being upgraded and is expected to commence operations by the second quarter of 2026.

Total Energy’s current capital expenditure commitments total $119.0 million and includes the Company’s 2025 capital budget of $102.4 million and $16.6 million of capital commitments carried forward from 2024. To September 30, 2025 $77.9 million of such commitments have been funded, with the remaining $41.1 million to be funded with cash on hand and cashflow.

Total Energy’s financial results for the second quarter of 2025 represent record second quarter results. A substantial increase in Australian drilling and service rig activity, continued strong North American demand for compression and process equipment and improved performance from Canadian well servicing more than offset a substantial decline in United States drilling and completion activity and a modest decline in Canadian drilling activity.

Second quarter CDS segment activity was modestly lower in 2025 compared to 2024 due to a substantial decline in U.S. activity, an extended spring shutdown in Canada and the loss of market share in more competitive areas of the Canadian market. The decline in North American operating days was offset by a significant increase in Australian activity following the acquisition of Saxon in March of 2024 and the reactivation of several upgraded drilling rigs following such acquisition. The year over year increase in second quarter Australian revenue per operating day reflects the addition of Saxon’s deeper drilling rig fleet which receives higher day rates as well as increased rates received for upgraded drilling rigs.

RTS segment revenue and revenue per utilized piece of equipment both decreased for the second quarter of 2025 compared to 2024 due to the mix of equipment operating and lower industry activity. Second quarter segment EBITDA decreased in 2025 compared to the prior year due to the change in the mix of equipment operating and lower equipment utilization. Partially offsetting the decline in U.S. activity was the acquisition of 280 major pieces of rental equipment located in Oklahoma on June 10, 2025.

(2) Rental equipment utilization is measured on a horsepower basis.

2025 second quarter CPS segment revenue was higher compared to 2024 due to increased fabrication sales and parts and service activity in both Canada and the U.S. that was partially offset by lower compression rental fleet utilization. Efficiencies arising from higher production levels contributed to the year-over-year increase in second quarter segment EBITDA and EBITDA margin. Sequentially, the quarter end fabrication sales backlog increased by $38.5 million, or 15%, from the $265.4 million backlog at March 31, 2025.

Second quarter WS segment revenue increased in 2025 as compared to 2024 due to increased activity in Australia and Canada following the reactivation of several upgraded service rigs that offset a substantial decline in U.S. activity. Segment EBITDA for the second quarter of 2025 was higher compared to the prior year due to increased Australian and Canadian activity and higher pricing realized in Australia for upgraded service rigs.

Corporate

During the second quarter of 2025, Total Energy continued to execute on its 2025 capital expenditure program and pursuit of attractive acquisition opportunities. $26.3 million of capital expenditures were made during the second quarter that related primarily to the upgrade of drilling and service rigs in Australia and Canada and the acquisition of rental equipment in the U.S. To June 30, 2025, $60.8 million of capital expenditures were funded, including approximately $16.6 million of capital commitments carried forward from 2024 and the acquisition of 280 pieces of rental equipment located in Oklahoma on June 10, 2025 for $9.0 million.

Following the repayment of a $40.4 million mortgage loan that matured on April 29, 2025, Total Energy exited the second quarter of 2025 with $111.8 million of positive working capital, including $34.2 million of cash, and $75.0 million of available credit under its $175 million of revolving bank credit facilities. The weighted average interest rate on the Company’s outstanding bank debt at June 30, 2025 was 4.49%.

$17.0 million was returned to shareholders during the first half of 2025 with the payment of $7.2 million of dividends and the repurchase of $9.8 million of shares under the Company’s normal course issuer bid. $10.9 million of bank debt was also repaid during this period.

Outlook

Oil prices remained relatively weak during the second quarter of 2025 as a result of significant global economic uncertainty. Such uncertainty continues to impair North American drilling and completion activity levels, particularly in the United States. Offsetting such weakness is continued strong North American demand for compression and process equipment and stable Australian industry conditions. The CPS segment’s record $303.9 million fabrication sales backlog at June 30, 2025 provides visibility into 2026.

Total Energy’s Board of Directors has approved a $19.5 million increase to the Company’s 2025 capital expenditure budget to $102.4 million. This increase is directed primarily towards the expansion of the CPS segment’s United States compression fabrication capacity. The planned expansion will increase the Company’s U.S. plant capacity by at least 75% and is expected to be completed by the first quarter of 2027. In addition, an idle Australian service rig will be upgraded and put into service by the end of the first quarter of 2026 under a minimum 12 month contract. Including this increase, approximately 70% of the Company’s 2025 capital budget is targeting growth opportunities. Total Energy intends to finance the remaining $58.2 million of 2025 capital expenditure commitments with cash on hand and cashflow.

Conference Call

At 9:00 a.m. (Mountain Time) on August 6, 2025 Total Energy will conduct a conference call and webcast to discuss its second quarter financial results. Daniel Halyk, President & Chief Executive Officer, will host the conference call. A live webcast of the conference call will be accessible on Total Energy’s website at www.totalenergy.ca by selecting “Webcasts”.

See note 6 to the Company’s Condensed Interim Consolidated Financial Statements.
